What are the requirements to form a company in the US?

To open an LLC, you must be:
- 18 years of age or older
- Hold a valid ID (US persons) or passport (internationals)

What are the BOI and BE-13 Reports?

The BOI (Beneficial Ownership Information) Report is a filing that U.S.-based companies must submit to FinCEN to disclose their owners and ultimate beneficiaries. If your company was created before January 1, 2024, the filing deadline is January 1, 2025.

For all companies created on or after January 1, 2024, this report must be filed within 90 days of company formation. Failure to submit this report can result in fines starting at $591 per day of delay, a fine of up to $10,000, and/or up to 2 years of imprisonment.
 The BE-13 Report is part of the BEA Agency's requirements, which must be filed by U.S.-based companies with foreign owners holding 10% or more of the company.

This report must be submitted within 45 days of company formation to avoid fines of up to $45,000.

What needs to be done to keep the company up to date, and how much does that service cost?

Each year, it’s necessary to renew the registered agent (an office that represents your company before the state and government and provides a mailing address for receiving notifications and legal correspondence). Annual reports must also be submitted to the state, along with an income tax return filed with the IRS. While having an LLC offers tax benefits, it’s essential to meet the annual obligations mentioned above (Registered Agent, Annual State Reports, and IRS Income Tax Return).

The deadlines for filing tax returns are March 15 for Corporations and multi-member LLCs and April 15 for single-member LLCs. The registered agent must be renewed one year after the company’s formation, and state reports vary depending on the date of creation.
