Changing Your LLC Address: One Move, Three Records

Changing Your LLC Address: One Move, Three Records

By Néstor Castillero|Maera

A move does not update all your LLC records. We walk through notifying the IRS with 8822-B, making the change in Wyoming, and reviewing your providers.

The boxes are already in the new place. The website shows the correct address. But a letter from the IRS is still on its way to the old one. At Maera, we look at a business move this way: changing where we work is not enough; we also need to review who keeps our information.

If your LLC already has an EIN, Form 8822-B allows you to notify the IRS of changes to the mailing address, business location, or responsible party. Let’s walk through a straightforward move, separating the federal, state, and operational steps.

First, let’s determine what has moved

Imagine a Wyoming LLC whose business is managed from Colombia and is moving offices. We may have changed the address where we receive mail, the location from which we operate, or both. These are not necessarily the registered agent’s address.

Before completing anything, we place the old and new addresses side by side, exactly as they appear in our documents. If you need to distinguish their functions, our guide to a virtual address for an LLC explains that distinction. Here, we address the next step: updating the records of a company that already exists.

Next, let’s notify the IRS with 8822-B

The IRS explains the three changes covered by Form 8822-B: business mailing address, business location, and identity of the responsible party. The latter is the person who effectively owns or controls the entity under IRS rules; we do not replace that person with our provider for convenience.

The 60-day deadline applies to a change of responsible party. We do not present it as a universal deadline for every move. If only the address changed, it is best to update it promptly so you receive correspondence at the proper address.

We use the current form and its instructions, not an old screenshot:

  • We identify the business by its legal name and EIN.
  • We indicate which information or returns the change affects.
  • We report the previous mailing address, the new one, and the new business location, as applicable. The form accommodates foreign addresses.
  • We complete the responsible party information only when it has changed.
  • An authorized person signs. If a representative signs, we attach the applicable power of attorney.

We then mail it to the destination listed in the instructions based on the previous business address, not solely on the state where we formed the LLC. The form includes Wyoming and addresses outside the United States in the Ogden group. We always verify the exact mailing address in the current version before sending it; the form itself states that it should not be attached to the return.

We keep a signed copy and proof of mailing. Changing the address by itself does not require applying for a new EIN; if ownership or structure also changed, we review that situation separately.

Wyoming has its own record

Updating the IRS does not automatically update the Secretary of State’s records. For a Wyoming LLC, the state’s official explanation directs you to the Update Form to change the principal office, mailing address, and contact information.

We identify the entity and its state registration number, complete the applicable information, sign, and follow the document’s submission instructions. The form may be submitted by email or mail. We keep documentation of this filing separately from the 8822-B.

We also do not confuse this process with changing the registered agent. If that service changed, we follow its specific procedure. An address change does not replace the Wyoming annual report, and filing the annual report does not replace the federal update.

Let’s finish the move where it really matters

Now we review the information held by the bank, payment processors, our contracts, and billing systems. We check each provider’s procedure: we do not assume they will receive the change from the IRS or promise that an address will be accepted.

Our final folder contains the previous and new records, the forms submitted, and any confirmations we receive. This allows us to explain a discrepancy between documents without improvising. The move is in order when we know what we changed, whom we notified, and what evidence we kept.

If you would like administrative support with forming or maintaining your LLC, you can review our plans. We organize filings and documentation; this guide provides general information, not personalized legal or tax advice. When a move coincides with changes in owners or business activity, we review the situation with the appropriate professional.

FAQ

Does updating the address in Wyoming also notify the IRS?

No. They are separate records. We update state information through Wyoming’s procedure and federal information through Form 8822-B when applicable.

Do I have 60 days for any address change?

The IRS expressly provides 60 days to report a change of responsible party. We should not apply that deadline to every address change. It is best to keep the mailing address current so you receive notices.

Does changing the address require applying for another EIN?

An address change by itself does not require a new EIN. If the company’s ownership or structure also changes, we should evaluate that situation separately.

Can I report an address outside the United States?

Yes. Form 8822-B includes fields for foreign addresses. That does not automatically make the address valid for a bank: each provider applies its own verification procedures.
