By creating an account, purchasing a service or using maera.com and the Vault, you accept these terms.

Maera provides administrative and management services for the formation and maintenance of companies in the United States and for the document organization of international structures. Maera is not a law firm or a public accounting firm and does not provide legal, tax, accounting or investment advice. Information on the site and in the Vault is general and informational. For legal or tax decisions, consult a licensed professional in your jurisdiction.

You must be at least 18 years old and have the legal capacity to contract. We do not provide services to individuals or entities subject to sanctions or for illicit activities, including money laundering, tax evasion, fraud or activities prohibited by applicable law. We reserve the right to refuse or cancel a service in the presence of risk signals.

The accuracy of the data and documents you provide is your responsibility. Rejected filings, delays or additional costs resulting from incorrect or incomplete information are not refundable.

Plans and services are described on the site at the time of purchase. Prices are in US dollars and do not include state or government fees, which are charged separately and are not refundable once filed. We may update prices with prior notice; changes do not affect an already paid period.

Annual and monthly plans renew automatically with the registered payment method until canceled. We send notice before renewal. We may also automatically charge authorized recurring services such as registered agent renewal and associated state fees, with prior notification. You can cancel renewal from your account or by writing to support@maera.com before the billing date.

Service fees may be refunded if work has not yet started. State and government fees already paid are never refundable. Our bank account guarantee applies on the terms published on the service page: we do not guarantee the approval of a bank account, as the decision is exclusively the bank’s.

The stated timelines are estimates and depend on state offices, the IRS and financial institutions. We are not responsible for delays by third parties or authorities.

You may not attempt to access other clients’ data, breach security controls, reverse-engineer the platform, automate use without authorization, or upload illegal or malicious content. Failure to comply may result in immediate account suspension.

You retain ownership of your documents and data. You grant us a limited license to store and process them solely for the purpose of providing the service. You may download them and request deletion in accordance with the privacy policy.

The brand, the site, the Vault software and materials are owned by Maera or its licensors.

Banks, payment processors, registered agents and authorities operate under their own terms. We are not responsible for their decisions, fees or interruptions.

To the maximum extent permitted by law, our total liability for any claim is limited to the amount paid for the service in question during the previous 12 months. We are not liable for indirect damages, lost profits, tax penalties or lost opportunities.

You agree to indemnify us against claims arising from your use of the service or inaccurate information provided by you.

Either party may terminate the relationship with notice. After termination, you will maintain download access for 30 days before the account is closed.

These terms are governed by the laws of Delaware, United States. The parties will attempt in good faith to resolve any dispute; failing that, they will submit to the courts or arbitration of Wilmington, Delaware.

We may update these terms by publishing a new version with its date; continued use implies acceptance.
